Subscription Terms and Conditions

1. DEFINITIONS

  1. 1.1 Publisher: The owners and operators of the Publication, Factiva Limited, a subsidiary of Dow Jones & Company, Inc , registered in England and Wales (registered number 03773253) with its registered office at The News Building 7th Floor, 1 London Bridge Street, London SE1 9GF, UK
  2. 1.2 Publication: Export Compliance Manager magazine.
  3. 1.3 Subscription Period: The period set out in the invoice sent to you or your organisation.
  4. 1.4 Subscription Fee: The current subscription fee as set out in any invoice sent to you or your organisation.
  5. 1.5 User: The individual which has paid the Subscription Fee.
  6. 1.6 Authorised Users: those individuals identified by the User to receive the Publication.
  7. 1.7 Licensed Firm: The government agency, company, library or law firm who has paid the Subscription Fee.
  8. 1.8 Individual Subscription: the subscription which provides copies of the Publication to one Authorised User of the Licensed Firm. 
  9. 1.9 SME Subscription: the subscription which provides copies of the Publication to 2 or 3 Authorised Users of the Licensed Firm.
  10. 1.10 Larger Company Subscription: the subscription which provides copies of the Publication to 4, 5, 6 or 7 Authorised Users of the Licensed Firm.
  11. 1.11  Major Company Subscription: the subscription which provides copies of the Publication to 8 or more Authorised Users of the Licensed Firm.

2. GENERAL CONDITIONS OF USE

  1. 2.1 All rights in the Publication belong to the Publisher or its third-party licensors and are protected by copyright, trademarks, service marks and/or other proprietary rights and laws of the United Kingdom and other countries. All individual articles, columns, emails and other elements of the Publication are also copyright works and you agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in the Publication or in these Terms and Conditions. The Publisher may license third parties to use the Publication in its sole discretion.
  2. 2.2 You agree to use the Publication solely for your own/Licensed Firm’s use and benefit and not for resale or other transfer or disposition to any other person or entity. You further agree not to use, transfer, distribute or dispose of any part of the Publication in any manner that might compete with the business of the Publisher.
  3. 2.3 You accept that the Publication is not to be used for transactions or the provision of legal advice.
  4. 2.4 Subject to the above, you agree that you may retrieve and display the Publication on a computer screen, print individual pages on paper and store such pages in electronic form on disk, on a server or other storage device connected to a network but you may not reproduce, modify or exploit any of the Publication for commercial profit other than would be ordinarily made in the course of your business.
  5. 2.5 Any breach of the Conditions of Use will entitle the Publisher, in addition to any other remedy available, to terminate this Licence immediately. In such event no part of the annual fee already paid will be repayable to you.

3. USER LICENCE

  1. 3.1 Individual Subscription user licence: Subject to the above,  the Authorised User may retrieve and display the Publication on a computer screen, print individual pages on paper, and store such pages in electronic form on disk or on any server or other storage device but may not copy, forward or distribute copies or make available the Publication or copies of the Publication or individual pages of the Publication to any other individual without the prior consent of the Publisher.
  2. 3.2 SME Subscription user licence: Subject to the above, the Authorised User may retrieve and display the Publication on a computer screen, print individual pages on paper, and store such pages in electronic form on disk or on any server or other storage device but may not copy, forward or distribute copies or make available the Publication or copies of the Publication or individual pages of the Publication to any other individual without the prior consent of the Publisher.
  3. 3.3 Larger Company Subscription user licence: Subject to the above, the Authorised User may retrieve and display the Publication on a computer screen, print individual pages on paper, and store such pages in electronic form on disk or on any server or other storage device but may not copy, forward or distribute copies or make available the Publication or copies of the Publication or individual pages of the Publication to any other individual without the prior consent of the Publisher.
  4. 3.4 Major Company Subscription user licence: Subject to the above the Authorised User may retrieve and display the Publication on a computer screen, print individual pages on paper, and store such pages in electronic form on disk or on any server or other storage device but may not copy, forward or distribute copies or make available the Publication or copies of the Publication or individual pages of the Publication to any other individual without the prior consent of the Publisher.

4. DISCLAIMER

  1. 4.1 The Publication is distributed on an ‘as is’ basis without warranties of any kind, either express or implied.
  2. 4.2 Information may be incorrect or out of date.
  3. 4.3 Information may not constitute a definitive or complete statement of the law.
  4. 4.4 Materials are not intended to constitute legal advice in any specific situation.
  5. 4.5 You may not be able to access the Publication or any materials in it when you want to.
  6. 4.6 The Publisher may change or withdraw part of the Publication.
  7. 4.7 The Publication may not be compatible with your browser or computer configuration.

5. LIMITATION OF LIABILITY

  • The liability of the Publisher, and the liability of any employees to you or any other party for any losses or damages whatsoever arising in connection with the publication (whether under this Licence or other contract or in consequence of their misrepresentation, misstatement or tortious act or omission including negligence) is limited to damages of an amount equal to the subscription fee.

6. TERMINATION

  1. 6.1 If you or the Authorised User are in breach of these terms the Publisher may terminate this licence immediately upon giving you written notice.
  2. 6.2 The Publisher will terminate this licence at the end of the Subscription Period by giving you notice unless you renew your subscription at the then current fee.
  3. 6.3 Following completion of the registration process and receipt of payment of the Publications Fees we grant you and those persons you identify as the Authorised Users during the registration process and subsequent correspondence a non-excusive and non-transferable licence to access the Publication for the purposes set out below. You may only appoint Authorised Users who are employees of the Licensed Firm.
  4. 6.4 The Publication is sold on the basis that no returns will be accepted or refunds given unless the Publication can be shown to be faulty and not reasonably rectified.

7. GOVERNING LAW

  • This Licence is governed by English law and you submit to the non-exclusive jurisdiction of the English courts.

8. PRIVACY

  1. 8.1 Where the Publisher processes personal data including that related to Authorised Users, it will do so in accordance with its Privacy Notice, which can be found here.
  2. 8.2 Licensed Firms. Where applicable, you will make available a copy of such Privacy Notice to any Authorised Users in the Licensed Firm or any other staff or relevant individuals whose personal data the Publisher may process in connection with these terms and conditions.
